Introduction

EMAUA operates through two independent organizations that collaborate to advance environmental regeneration and community development initiatives.

While they share a common mission and collaborate closely on projects, these organizations are legally independent entities established under the laws of their respective jurisdictions.

This page clarifies their respective roles and governance.

Legal Structure

EMAUA Switzerland

EMAUA Switzerland is an association established under Swiss law.

Its mission is to support environmental regeneration initiatives, particularly in tropical regions, through:

  • fundraising and partnerships
  • strategic development
  • communication and outreach
  • support for environmental and community-based initiatives.

EMAUA Switzerland operates independently and is governed by its own statutes and committee.

EMAUA CBO (Kenya)

EMAUA CBO is a Community-Based Organization registered in Kenya.

It is responsible for the implementation of environmental and community projects in Kenya, including:

  • project implementation and field operations
  • employment and management of personnel
  • local partnerships and community engagement
  • compliance with Kenyan laws and regulations.

EMAUA CBO operates under the governance of its own local committee.

Cooperation Framework

The collaboration between EMAUA Switzerland and EMAUA CBO is governed by a Memorandum of Understanding (MOU).

The MOU defines the framework of cooperation between the two organizations, including:

  • strategic support and fundraising activities conducted by EMAUA Switzerland
  • project implementation carried out by EMAUA CBO in Kenya
  • financial transparency and reporting
  • coordination between the two entities.

This cooperation does not create a single legal entity or integrated institutional structure.

Governance and Responsibilities

The two organizations maintain separate governance structures.

EMAUA Switzerland

  • governed by its committee under Swiss association law
  • responsible for strategic support, partnerships, and communication.

EMAUA CBO

  • governed by its own committee in Kenya
  • responsible for operational management and project implementation.

Each organization is fully responsible for its own activities, personnel, and legal obligations.

Shared Communication Platforms

The organizations may share communication platforms, including websites or communication channels, to present environmental initiatives and activities related to the EMAUA mission.

The use of shared communication platforms does not imply the existence of a single legal entity.

Transparency

Both organizations are committed to transparency in their activities.

Project implementation in Kenya is subject to reporting and external audit processes conducted under Kenyan regulatory requirements.
